TERMS OF USE — NOUNS TV ⌐◨-◨

The Nouns TV platform is operated and owned by BASCODE DESENVOLVIMENTO DE APLICATIVOS LTDA, CNPJ nº 42.377.335/0001-73, headquartered at Rua Maria Curupaiti, 19, Vila Ester, São Paulo/SP, CEP 02452-000, Brazil ("BASCODE").

By accessing or using Nouns TV, the user declares that they have read, understood, and fully agree with these Terms of Use.

1. DEFINITIONS

Platform: Nouns TV, including website, mobile, TV and virtual reality (VR) apps, APIs, smart contracts, and technical infrastructure.
User: any person who uses the platform.
Streamer / Creator: user who publishes and monetizes content.
Wallet: Web3 wallet used as digital identity.
DAO: decentralized autonomous organization associated with the Nouns ecosystem.
Smart Contract: code executed on blockchain that automates rules and transactions.

2. PLATFORM SCOPE

Nouns TV is a Web3 platform for distribution, monetization, and protection of audiovisual content, based on blockchain technology, smart contracts, and wallet authentication.

BASCODE acts exclusively as a provider of technological infrastructure, not exercising prior editorial curation nor participating in the legal relationship between creators and the public.

3. REGISTRATION AND DIGITAL IDENTITY

3.1 Creator registration and wallet

Creators may register with an email address, including through invitation campaigns, and create a channel and publish content without a wallet. Connecting a Web3 wallet, which works as the creator's digital identity on the blockchain, is required only for:

Receiving payments through the decentralized rail (smart contracts);
NFT-based benefits (section 5.1).

Payouts in fiat currency (Pix or credit card) follow the rails described in section 4.4.

3.2 Ownership and non-custody

The user declares to be the legitimate controller of the wallet used. Nouns TV does not have custody of digital assets and does not store private keys or seed phrases.

4. FINANCIAL MODEL, INTERMEDIATION AND PAYMENT RAILS

4.1 Nature of Intermediation and Billing Mandate

Nouns TV operates strictly as a technological platform and business intermediary between the Creator and the End User. When monetizing any content or interaction on the platform (including recurring subscriptions, live stream tickets, temporary rentals, permanent access purchases, and donations/tips), the Creator expressly grants BASCODE the powers of an agent and exclusive billing representative to enable the collection of funds through integrated payment processors (including Stripe and Asaas) or via smart contracts.

4.2 Revenue Split

The gross amount paid by the end user in any transaction will be split and settled as follows:

80% (eighty percent) allocated to the Creator / Streamer;
20% (twenty percent) retained by BASCODE as a service intermediation fee (take rate / platform fee).

Sole paragraph: Operating fees charged by payment gateways, network fees (gas fees), or bank transfer and advance payout charges will be deducted according to the specific rules of each financial rail prior to or at the time of settlement.

4.3 Independent Rails (1:1)

Nouns TV operates with multiple independent settlement rails (Web2 and Web3). The transfer of the 80% to the Creator occurs strictly in the same currency, network, or gateway used in the original payment by the user (1:1 relationship). The platform does not provide foreign exchange, fiat-to-crypto conversion, or token swap services.

4.4 Fiat Flow (Web2) and Transitory Custody

Transactions in fiat currency (Pix or Credit Card) are processed by authorized acquirers and partners (such as Stripe and Asaas). Funds credited to the Creator represent transitory resources of their exclusive ownership awaiting payout/withdrawal, with no transfer of equity ownership of these funds to BASCODE. Withdrawals will take place exclusively in fiat currency through the respective rails registered by the Creator.

4.5 Decentralized Flow (Web3)

Transactions carried out in a decentralized environment (Ethereum, Base, Linea, or related networks) are governed and split natively via smart contracts. The Creator's net balance is made available or transferred directly on-chain to the respective wallet, in the exact same tokens of the original transaction.

4.6 Tax Responsibility and Fiscal Invoicing

The Creator acknowledges and agrees that they are the sole and exclusive provider/supplier of digital content services to the end user, remaining personally and entirely responsible for determining their taxes and issuing the corresponding fiscal document/invoice (NFS-e, NF-e, or personal income tax declaration / self-employment tax) covering the total amount paid by the user.

BASCODE is solely responsible for tax compliance and invoice issuance regarding its own intermediation fee (the retained 20% commission), and shall not be held liable for tax liabilities, withholdings, or obligations of Creators in any jurisdiction.

5. PLANS AND NFT-BASED BENEFITS

Free: channel creation and VOD upload.
Plus: includes live streams.
Premium: includes advanced security features and DRM.

5.1 Automatic benefits

Lil Nouns NFT → automatic access to Plus Plan.
Nouns NFT → automatic access to Premium Plan.

Benefits remain active as long as the NFT is present in the wallet.

6. CONTENT OWNERSHIP AND COMPLIANCE

6.1 Content Ownership

Content remains the exclusive property of the creator. DRM aims to mitigate unauthorized copies, not guaranteeing absolute protection.

6.2 License Granted to Nouns TV and Creator Warranties

While you retain full ownership of your content, by uploading, streaming, or publishing any audiovisual material on Nouns TV, you grant BASCODE a worldwide, non-exclusive, royalty-free, sublicensable, and transferable (exclusively for the purposes of technical operation, distribution via CDNs, and platform infrastructure) license to host, store, reproduce, broadcast, transmit, display, format, and distribute your content across the platform. This license is strictly limited to the purpose of operating, improving, promoting, and providing the Nouns TV services to the global public.

By uploading content to Nouns TV, the Creator represents and warrants that they own or otherwise possess all necessary rights, licenses, consents, and permissions required to publish, stream, distribute, and monetize such content through the platform.

6.3 Creator Rights and Copyright Compliance

Creators may upload only content for which they own or have obtained all necessary intellectual property rights and permissions. Nouns TV strictly prohibits the upload, distribution, or monetization of copyrighted content without authorization. BASCODE reserves the right to remove content, suspend accounts, and terminate access upon receipt of copyright complaints or evidence of infringement.

6.4. SPECIAL CLARIFICATION: NOUNS DAO (CC0) VS. NOUNS TV (COPYRIGHT PROTECTED)

To prevent any confusion regarding intellectual property within the Nouns ecosystem, users must understand the distinction between Nouns DAO and Nouns TV:

Nouns DAO Brand and Assets (CC0): The original Nouns artwork, characters, and the "noggles" (the glasses) are licensed under Creative Commons Zero (CC0) by Nouns DAO. This means anyone is free to use, modify, and commercialize the Nouns brand assets anywhere in the world. Nouns TV proudly utilizes this public domain identity.
Nouns TV Content and Platform (Copyright Protected): Unlike the CC0 status of the Nouns brand, the audiovisual content (videos, streams, music, movies) uploaded or broadcasted by Creators on Nouns TV is NOT CC0.
- All content uploaded by a Creator remains the intellectual property of that specific Creator (or its respective copyright owner).
- Users and other Creators are strictly prohibited from copying, distributing, downloading, or repurposing any video or audio published on Nouns TV without the explicit, documented consent of the content creator.
- The CC0 license of Nouns DAO applies only to the official Nouns open-source assets, NOT to the proprietary and copyrighted content generated by independent creators on Nouns TV.

7. PROHIBITED CONTENT AND MODERATION

It is prohibited to publish content that is:

Illegal, offensive, violent, or discriminatory;
Violates copyright, trademarks, or intellectual property;
Obtained or distributed without legitimate authorization ("pirated content").

Nouns TV may remove content, suspend accounts, block wallets, and revoke access, without prior notice, when necessary.

8. RESPONSIBILITIES

The creator is solely responsible:

For published content;
For copyright;
For tax and legal obligations.

There is no employment, corporate, or associative relationship with BASCODE.

9. LIMITATION OF LIABILITY

BASCODE is not responsible for:

User actions;
Loss of wallet access;
Inherent failures of blockchain technology;
Content published by third parties.

9.1 As-Is and Web3 Risks

Nouns TV is provided on an "as-is" and "as available" basis. We do not guarantee that the platform will function without errors or interruptions. Furthermore, BASCODE is not responsible for any losses, delays, or issues arising from the inherent risks of blockchain technology, including but not limited to network congestion, gas fee fluctuations, or vulnerabilities in third-party smart contracts and wallets.

10. MINIMUM AGE AND ELIGIBILITY

You must be at least 16 years of age to use the Nouns TV platform. By creating an account or connecting a wallet, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the platform.

11. CHANGES

The Terms may be changed at any time. Continued use of the platform implies acceptance of the current version.

These Terms are available in several languages; in case of divergence, the Brazilian Portuguese (pt-BR) version prevails.

12. LEGISLATION AND JURISDICTION

Brazilian legislation applies. Elected jurisdiction: São Paulo/SP District.
